Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Syntax Care ("Company," "we," "our," or "us") regarding your use of our website design and maintenance services. By engaging our services or using our website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
Our Services
Website Design Services
We provide custom website design and development services, including but not limited to:
- Custom website design and development
- Responsive design for mobile and desktop devices
- Search engine optimization (SEO)
- Content management system integration
- E-commerce functionality
- Website hosting setup and configuration
Website Maintenance Services
Our maintenance services include:
- Regular website updates and security patches
- Performance monitoring and optimization
- Backup and recovery services
- Technical support and troubleshooting
- Content updates and modifications
- Uptime monitoring and reporting
Client Responsibilities
To ensure successful project completion, clients agree to:
- Provide accurate and complete project requirements
- Supply all necessary content, images, and materials in a timely manner
- Respond to requests for feedback and approval within agreed timeframes
- Provide access to necessary accounts, hosting, and domain management
- Make payments according to the agreed schedule
- Communicate any changes or concerns promptly
Delays in client response or material provision may result in project timeline extensions and additional costs.
Payment Terms
Design Projects
- 50% deposit required before project commencement
- Remaining 50% due upon project completion and delivery
- Payment terms: Net 15 days from invoice date
- Late payments may incur a 1.5% monthly service charge
Maintenance Services
- Monthly maintenance fees are billed in advance
- Payment due on the 1st of each month
- Services may be suspended for non-payment after 15 days
- Reactivation fee may apply for suspended accounts
Additional Work
Work beyond the original scope will be quoted separately and requires written approval before commencement. Additional work is billed at our standard hourly rate of $150/hour.
Intellectual Property Rights
Client Content
Clients retain ownership of all content, images, and materials provided to us. By providing content, clients grant us a license to use, modify, and display the content solely for the purpose of providing our services.
Website Ownership
Upon full payment, clients receive ownership of the completed website, including all custom code and design elements created specifically for their project. However, we retain rights to:
- Use the website as a portfolio example
- Reuse general techniques and methodologies
- Third-party components and frameworks used
Third-Party Components
Websites may include third-party components, plugins, or frameworks subject to their respective licenses. Clients are responsible for compliance with these licenses.
Warranties and Disclaimers
Service Warranty
We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 30-day warranty on all design work, covering:
- Bug fixes and technical issues
- Browser compatibility problems
- Mobile responsiveness issues
Disclaimers
EXCEPT AS EXPRESSLY SET FORTH HEREIN, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT:
- The website will meet your specific requirements
- The website will be uninterrupted or error-free
- Search engine rankings will be achieved or maintained
- The website will generate specific business results
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Termination
Termination by Client
Clients may terminate services at any time with written notice. Upon termination:
- Client remains responsible for all work completed to date
- No refunds will be provided for work already performed
- We will provide completed work files upon full payment
Termination by Company
We may terminate services immediately if:
- Client fails to make required payments
- Client breaches these Terms
- Client requests illegal or unethical work
- Client becomes abusive or unreasonably demanding
Indemnification
Client agrees to indemnify and hold harmless Syntax Care from any claims, damages, or expenses arising from: (a) Client's use of the website or services; (b) Client's violation of these Terms; (c) Client's violation of any third-party rights; or (d) any content provided by Client.
Force Majeure
We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in New York, NY.
Before initiating arbitration, parties agree to attempt resolution through good faith negotiation for at least 30 days.
Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms. For ongoing projects, changes will apply to new work commenced after the modification date.
Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be replaced with an enforceable provision that most closely reflects the original intent.
Entire Agreement
These Terms, together with any signed service agreements or proposals, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter herein.
